Synopsis

Brazilian agribusiness company SLC Agricola has agreed to acquire approximately 8,900 arable hectares in the state of Mato Grosso for BRL 669 million (USD 130 million). The transaction includes agricultural infrastructure such as silos and a cotton processing facility and forms part of the redistribution of the "Bloco Mato Grosso" farmland portfolio owned by Radar, a subsidiary of Cosan. SLC Agricola already operates part of the land under lease agreements and will continue leasing a portion of the remaining area after the acquisition. The deal is subject to regulatory approvals and is expected to close following the scheduled payment milestones.

Brazilian agribusiness company SLC Agricola has agreed to acquire approximately 8,900 arable hectares in the state of Mato Grosso for BRL 669 million (USD 130 million), further expanding its farmland portfolio in one of the country's largest agricultural regions. The company announced the transaction earlier this week, stating that the acquisition remains subject to regulatory approval.
The purchase includes agricultural infrastructure associated with the land, including grain silos and a cotton processing unit, which are expected to support farming operations across the acquired area.
The acquisition follows SLC Agricola's decision in June to exercise its right of first refusal to purchase the portfolio known as "Bloco Mato Grosso". The portfolio, comprising approximately 41,200 physical hectares, is owned by Radar, the farmland investment subsidiary of Brazilian conglomerate Cosan.
According to the company, other existing lessees also exercised their contractual matching rights over portions of the portfolio. Following negotiations among the interested parties, it was agreed that the landholding would be divided between multiple buyers rather than being acquired by a single purchaser.
SLC Agricola already cultivates approximately 17,600 hectares within the same region under existing lease agreements. Following completion of the transaction, around 8,700 hectares will continue to be operated under lease arrangements with varying expiry dates extending through the 2029-30 agricultural season.
The agreed purchase consideration totals BRL 669 million. Under the payment schedule, an initial instalment of BRL 255.2 million will be paid upon execution of the transaction and held in escrow. The balance of BRL 413.9 million is scheduled to be paid by October 30, 2026.
Mato Grosso is Brazil's leading agricultural state and is a major producer of soybeans, corn and cotton. The acquisition strengthens SLC Agricola's presence in the region while adding productive farmland and supporting infrastructure to its operational portfolio.
The transaction will be completed after obtaining the required regulatory approvals and satisfying the agreed contractual conditions.:::
