U.S.-based real estate investment trust (REIT) AvalonBay Communities has suspended its full-year earnings guidance due to its pending merger with Equity Residential after reporting mixed financial results for the second quarter.
The company had announced in the past few months that it would merge with Equity Residential through an all-stock transaction. Once completed, the combined company is expected to have an enterprise value of around USD 71 billion, creating one of the largest publicly listed residential rental housing companies in the United States.
For the second quarter, AvalonBay reported core funds from operations (FFO)—a key performance measure for REITs—of USD 2.86 per share, compared with USD 2.82 per share in the corresponding period last year, indicating a modest year-on-year improvement.
The company's same-store residential revenue increased 1.6% from a year earlier, reflecting steady performance across its existing apartment portfolio despite a slower leasing environment.
On a diluted basis, however, AvalonBay reported earnings of USD 1.11 per share for the quarter ended in the previous month, compared with USD 1.88 per share in the same period last year, showing a decline in overall profitability.
The company indicated that elevated interest rates and uncertainty surrounding tariffs have made consumers more cautious about housing decisions, resulting in softer demand for new apartment leases. These market conditions have continued to affect the broader U.S. residential rental sector, where developers and landlords are balancing slower leasing activity with higher financing costs.
Following the announcement, AvalonBay's shares fell 1.4% in after-market trading, reflecting investor reaction to the earnings update and the suspension of its annual outlook.
The proposed merger with Equity Residential, announced in the past few months, remains subject to customary approvals and is expected to reshape the U.S. multifamily housing market by combining two of the country's largest apartment owners. The transaction is being closely watched by investors for its potential to deliver operational efficiencies, strengthen portfolio diversification and enhance long-term growth.
