Nxt-Infra Trust has reported its unaudited financial results for the quarter and half year ended 30 September 2025 while separately announcing plans to acquire an additional road asset, Calicut Expressway Private Limited (CEPL), from Actis Roadways Holdings Limited. The infrastructure investment trust reported total income of INR 3,143.84 million for the half year ended September 2025 and approved a distribution of INR 3.3128 per unit to unitholders. The InvIT, sponsored by Actis Highway Infra Limited, currently holds five road infrastructure subsidiaries and one joint venture acquired in 2024. The proposed CEPL acquisition forms part of the trust’s ongoing expansion of its operational road asset portfolio. The acquisition remains subject to execution of definitive agreements, fulfilment of conditions precedent and regulatory approvals.
Nxt-Infra Trust has announced plans to acquire an additional road infrastructure asset while reporting its unaudited standalone and consolidated financial results for the quarter and half year ended 30 September 2025.
In a disclosure submitted to the National Stock Exchange on 21 April 2026, the InvIT stated that it proposes to acquire Calicut Expressway Private Limited (CEPL), also referred to as Austin, from Actis Roadways Holdings Limited. The trust stated that the proposed acquisition is in addition to previously disclosed assets referred to in its earlier intimation dated 22 July 2025.
According to the filing, the acquisition remains subject to execution of definitive agreements, completion of customary conditions precedent and receipt of applicable approvals.
The acquisition announcement comes alongside the trust’s latest financial disclosures approved by the board of Walter Infra Manager Private Limited, acting as investment manager of Nxt-Infra Trust. The InvIT reported consolidated total income of INR 3,143.84 million for the half year ended 30 September 2025 compared with INR 1,713.02 million during the corresponding period of the previous year. Revenue from operations stood at INR 1,573.89 million for the six-month period, while other income totalled INR 1,569.95 million.
The board also approved a distribution of INR 3.3128 per unit to unitholders for the quarter ended September 2025. The payout comprises INR 2.3879 per unit in the form of interest and INR 0.9249 per unit as repayment of capital. The record date for the distribution was fixed as 19 November 2025, with payment scheduled on or before 26 November 2025.
Nxt-Infra Trust was established in October 2023 as an Infrastructure Investment Trust under SEBI regulations and is sponsored by Actis Highway Infra Limited. The trust completed acquisition of five road infrastructure subsidiaries and one joint venture from its sponsor in June 2024. These assets include Nxt-Infra GSY Highways, xt-Infra CGRG Highways, DM Expressway, Nxt-Infra CT Highways, NI Road Infra and joint venture entity Nxt-Infra MCP Highways.
The InvIT had raised INR 15,200 million through a private placement of 152 million units, which were listed on the National Stock Exchange in July 2024. According to the financial disclosures, proceeds from the issue along with additional borrowings were utilised for repayment of external borrowings and optionally convertible debentures across project entities.
The trust reported total assets of INR 59,022.60 million as of September 2025, while aggregate borrowings net of cash stood at INR 28,749.57 million, translating into a net borrowing ratio of 48.71%.
