Synopsis

Enviro Infra Engineers has agreed to acquire renewable energy firm Suyog Urja for INR 311 crore through its subsidiary, marking its entry into the wind EPC segment. The deal will be executed in phases, beginning with a 51 percent stake and followed by full ownership over the next 27 months. Suyog Urja brings a strong execution track record and growing revenues, which is expected to support Enviro Infra’s expansion into renewable energy. The acquisition aligns with the company’s strategy to diversify beyond its core infrastructure business and strengthen its order pipeline.

Enviro Infra Engineers has entered into a definitive agreement to acquire Suyog Urja Limited for a total consideration of INR 311 crore. The transaction will be carried out through its wholly owned subsidiary, EIE Renewables Private Limited, and is structured as a phased acquisition.


Under the agreement, the company will initially acquire a 51 percent stake in Suyog Urja. The remaining 49 percent stake will be acquired in stages over the next 27 months, with the full transaction expected to be completed by July 31, 2028. The acquisition is being executed through cash consideration and is classified as a non-related party transaction.

Funding for the deal will be arranged through a mix of internal accruals, equity, and debt, allowing the company to maintain financial balance while expanding into a new segment. The phased structure is expected to support smoother integration and reduce immediate financial pressure.

Suyog Urja operates in the renewable energy sector with a focus on wind and solar EPC (engineering, procurement, and construction) projects. The company has executed more than 500 MW of renewable energy projects across multiple states and has built a steady project pipeline. Its existing order book and execution capabilities are expected to complement Enviro Infra’s expansion plans in the clean energy space.

Financially, Suyog Urja has shown consistent growth in recent years. The company reported a turnover of around INR 171.99 crore in FY25, up from INR 86.71 crore in FY24 and INR 53.34 crore in FY23. Its net worth stood at approximately INR 30.34 crore in the latest financial year, indicating a stable financial position.

This acquisition marks Enviro Infra Engineers’ formal entry into the wind energy EPC segment. The company has been gradually expanding its presence beyond its core water and wastewater infrastructure business. In the recent past, it has secured multiple infrastructure projects and also entered the battery energy storage segment through large-scale orders.

With an order book exceeding INR 4,600 crore, Enviro Infra is actively diversifying its portfolio to include energy and sustainability-focused projects. The addition of Suyog Urja is expected to strengthen its renewable energy vertical and provide access to new opportunities in both wind and hybrid energy projects.
